Welcome to eBig Design NYC ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, client portal, dashboards, and any related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Services, you represent and warrant that you meet these requirements.

2. Services

We provide fundraising analytics, reporting dashboards, consulting tools, and related software services for nonprofit organizations.

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time without prior notice.

3. User Accounts

Certain portions of the Services require an account.

You agree to:

  • Provide accurate and current information.

  • Keep your login credentials confidential.

  • Notify us immediately of any unauthorized use of your account.

  • Accept responsibility for all activities conducted under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Client Data

Clients retain ownership of the fundraising and organizational data they provide.

By submitting data to the Services, you grant us a limited license to process, store, and display that data solely for the purpose of providing the Services.

You are responsible for ensuring that you have the legal right to upload any data you provide.

5. Confidential Information

Our dashboards may contain confidential fundraising, financial, or operational information.

You agree not to:

  • Share dashboard access with unauthorized individuals.

  • Copy or distribute confidential client information without permission.

  • Attempt to access another organization's information.

6. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes.

  • Attempt to interfere with the operation or security of the Services.

  • Upload malicious software or code.

  • Attempt to gain unauthorized access to any account, database, or system.

  • Reverse engineer or copy any portion of the Services except as permitted by law.

7. Intellectual Property

All content, software, designs, graphics, logos, reports, dashboards, and related materials are owned by or licensed to eBig Design NYC and are protected by applicable intellectual property laws.

Except as expressly permitted, no portion of the Services may be copied, reproduced, modified, or redistributed without prior written permission.

8. Third-Party Services

Our Services may integrate with third-party platforms, including fundraising CRMs, cloud hosting providers, analytics tools, and payment processors.

We are not responsible for the availability, accuracy, or practices of third-party services.

9. Availability

We strive to maintain reliable access to the Services but do not guarantee uninterrupted or error-free operation.

Maintenance, updates, internet outages, or circumstances beyond our control may temporarily affect availability.

10. Data Security

We implement commercially reasonable administrative, technical, and organizational measures to protect client information.

However, no method of internet transmission or electronic storage is completely secure, and we cannot guarantee absolute security.

11. Privacy

Your use of the Services is also governed by our Privacy Policy.

12. Fees and Payments

If you purchase paid services:

  • Fees are due according to your agreement or invoice.

  • Unless otherwise stated, fees are non-refundable.

  • Failure to pay may result in suspension or termination of Services.

13. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • the Services will be uninterrupted;

  • all information will be error-free; or

  • use of the Services will produce specific fundraising outcomes.

14. Limitation of Liability

To the fullest extent permitted by law, eBig Design NYC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Services.

Our total liability for any claim arising out of or relating to the Services shall not exceed the amount you paid us during the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless eBig Design NYC, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

  • your use of the Services;

  • your violation of these Terms; or

  • your violation of applicable law or the rights of another person.

16. Suspension and Termination

We may suspend or terminate access to the Services at any time if:

  • these Terms are violated;

  • fraudulent or unlawful activity is suspected;

  • continued access poses a security risk; or

  • required by law.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

18. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
